These Terms & Conditions (“Terms”) applies to users, viewers and all people (“You”, “your”) who have access to [hyperlink] (the “Site”) and govern your access to and use of Martell Virtual Bartender, a text-based conversational artificial intelligence (AI) service (the “Service”) provided by Martell & Co. SA, a company governed by French law, with a share capital of 954 110 665,71 euros, registered at the Trade and Company Registry of Angoulême under number 342 438 892, and with its registered office Place Edouard Martell, 16100 Cognac, France(“we”, “us”, “our”). The Service is an automated system powered by Azure AI systems through Microsoft’s infrastructures based in Europe. 

By using the Service, you agree to these Terms. If you do not agree, please do not use the Service. We reserve the right to modify these Terms at any time without notice. Changes will take effect as soon as they are published online. Users are therefore encouraged to regularly review these Terms to be aware of any changes that may have been made. 

2. Eligibility 

To be able to consult our Site and use the Service, you must be of the legal age defined by your country’s laws governing the consumption of alcohol: if this is not the case, please leave this Site. 

In certain countries, it is prohibited to consult a site such as ours, because local laws restrict the sale and/or promotion of alcoholic beverages. If you are consulting this Site from a country in which such restrictions apply, please disconnect immediately. If you are not familiar with your country’s laws on this subject, we recommend that you leave this Site and consult your rights before continuing 

3. User Conduct 

Our Service is only for personal and non-commercial use only. By using the Service, you agree :

– not to input or request content that is illegal, harmful, defamatory, discriminatory, or infringes intellectual property or privacy rights; 

– not attempt to reverse-engineer, exploit, or interfere with the Service, nor use it for spam or to develop competing AI models; 

– not to copy, distribute, modify, reverse engineer, decompile or attempt to extract the source code of the Service or any part that composes it, without our prior written consent. 

4. AI Outputs Disclaimer and AI Act Transparency 

The Service generates text responses (“Outputs”) based on your prompts. Outputs may be inaccurate, incomplete, or inappropriate. Outputs do not constitute professional advice (legal, medical, financial, etc.). You are responsible for verifying any information before relying on it. Users must apply human judgment before relying on Outputs. We assumes no responsibility or guarantee for the accuracy or completeness of the information provided. 

We promote responsible consumption of our products and make the best efforts to ensure our Service promote responsible consumption. Whilst all reasonable endeavors have been made to ensure responses are relevant, appropriate, free from bias and responsible, in exceptional cases some responses generated may be unreliable, inappropriate or offensive to some users. 

The Service is an AI system provided thank to Azure Microsoft AI services, under the EU AI Act. It is designed for text generation only and is not intended for high-risk uses. It is prohibited to use the Service for unlawful, harmful, discriminatory or manipulative activities, . 

5. Intellectual Property 

The Service and any texts, images, video, audio or other content accessible from the Service are owned by us and our licensors. Nothing in these Terms grants you any legal rights (including but not limited to all copyrights, trademarks, domain names, design rights and all other intellectual property rights of any kind) whether registered or not anywhere in the world. You are granted a limited license to use the Service. You also grant us a limited license to use your Prompts and Ouputs for the purpose of operating, securing and improving the Service and security systems. 

6. Privacy & GDPR Compliance 

Be aware that we may access the historic of conversations you have with our Service to improve results. The Service is not intended to process any personal data. You are required not to share any personal data in your prompts. If you do so, only our employees who have access to the Service (in order to provide it) will delete, within reasonable time, the personal data and it will not be process or stored. 

7. Warranties & Liability 

For the proper management of the Service and the Site, we reserve the right to, at any time, suspend, interrupt, or limit access to all or part of the Site without prior notice, to delete any information that 

may disrupt the functioning of the Service or violate national laws, or to suspend the Service in order to perform updates. 

We cannot be held liable for any inconvenience or damage inherent in the use of the Internet, particularly in the event of failure, breakdown, difficulty or interruption of service preventing access to the Site and the Service or any of its features. 

The Service may contain links to other websites. This is a service provided to users. However, as these websites are not under our control, we do not accept any responsibility for the content, information or data that may appear on them. The creation of any hypertext links by a third-party to all or part of the Site is strictly prohibited without our prior written consent. In any event, such links must be removed upon our request. 

You acknowledge that your equipment used to access the Service is under your sole responsibility and that you take all appropriate measures to protect your own data, in particular from virus attacks via Internet. You acknowledge that you remain liable for any damage caused to yourself, to third-parties and/or to your equipment as a result of your access or use of the Service. 

THE SERVICE AND ALL OUTPUTS ARE PROVIDED ‘AS IS’ AND ‘AS AVAILABLE’ WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR INDIRECT DAMAGES. 

8. Indemnification 

You agree to indemnify and hold harmless Martell & Co. SA, its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses arising from your use of the Service or Outputs, your violation of these Terms, or any infringement of third-party rights caused by your actions. 

9. Termination 

We may suspend or terminate access for violations of these Terms or legal requirements. Certain provisions survive termination. 

10. Governing Law 

These Terms are governed by the laws of France, with exclusive jurisdiction in Paris courts.
